Hyva has signed a binding agreement to divest its India Tipper Body Business to Belrise Industries Limited, marking a strategic portfolio realignment as the company sharpens its focus on hydraulic systems, tipping technologies and digital tipping solutions.

The proposed transaction, which is subject to customary regulatory approvals and closing conditions, is expected to be completed during the fourth quarter of 2026.

Established in 1997, Hyva India introduced telescopic cylinder technology and tipping solutions to the Indian market. Its tipper body business remains the only Hyva operation globally dedicated to the design, manufacture and sale of complete tipper bodies. Following the transaction, Hyva will continue to own and operate its Tipping Kits & Hydraulic Systems Business, serving OEMs, body builders, dealers and fleet customers across India.

The divestment follows JOST Werke SE’s acquisition of Hyva in February 2025 and forms part of the group’s strategy to streamline Hyva’s portfolio around its core competencies in tipping cylinders, hydraulic components and digital tipping systems. According to the company, the move is expected to reduce vertical integration while enhancing operational flexibility in the Indian market.

On an annual basis, Hyva India’s tipper body business generates revenues of €30–40 million, with the company stating that the transaction is not expected to have a material impact on JOST’s revenue or earnings outlook for the 2026 financial year.

Alex Tan, CEO APAC, JOST, said the transaction aligns the business with the long-term strategic priorities of both JOST and Hyva, allowing the company to strengthen its position in hydraulic systems, tipping cylinder technologies and digital tipping solutions for the commercial vehicle industry.

Jeffrey Zuidgeest, Managing Director, Hyva India, said the company remains committed to the Indian market and will continue investing in its Tipping Kits & Hydraulic Systems business while working closely with Belrise to ensure a smooth transition for customers, employees and business partners.

For Belrise Industries, the acquisition expands its footprint in the commercial vehicle segment. Headquartered in Pune, the company manufactures safety-critical systems and engineering solutions for two-wheelers, three-wheelers, passenger vehicles, commercial vehicles and agricultural vehicles, while also strengthening its capabilities in aerospace and defence through recent acquisitions in Europe.

Commenting on the acquisition, Shrikant Badve, Managing Director, Belrise Industries Limited, said Hyva India’s tipper body business complements Belrise’s manufacturing and engineering capabilities and provides a strong platform for future growth while ensuring continuity for customers, suppliers and employees.

The transaction underscores the ongoing portfolio realignment within the commercial vehicle industry, with companies increasingly focusing on core technologies while leveraging strategic acquisitions to strengthen manufacturing capabilities and expand market presence.
